HOW TO CREATE YOUR COMPANY IN DJIBOUTI

First step: Documents processed by a notary

Second step: Statutes’ registration at Ministry of Finance -Tax Administration (Registration and Stamps Service)

• company’s statutes (4 copies) + declaration of conformity

• fixed part: 2000 FDJ/document enclosed to the statute (declaration of conformity, bank statement)

• proportional part: 5% of company’s capital regardless of its legal form.

• Stamps’ fees: 500 FDJ/ statute page including enclosures

• receipt of fees payment

• At the back of the document are reproduced the registration formalities (registry no., folio no., registration no.), entitled signature, proceeding date and official stamps.

Third step: License registration at registry of commerce in the Ministry of Justice (of commerce court registry office)

The notary is in charge on behalf of the investor of all formalities (steps 2 & 3). It is not mandatory to process the documents at the notary; a company could be privately constituted.

The investor should deposit his agreement request for the Investment Code after elaborating the statutes and license registration in the registry of commerce (see documents to be presented at enclosure). Steps 5, 6, 7 are done directly at the agency. With the One-Stop-Shop the investor is required to undertake only 3 steps to create his company.

Fourth step: Acquisition of trading license and fiscal registration in the Ministry of Finance-Tax Administration, Direction of Direct Incomes

• a bank account statement

• administrative authorization (agreement, license) for pertaining activities

• copy of manager ID (national ID or residence permit for foreigners)

• 3 recent photos of the manager

• fiscal stamp of 500 DJF stamped on the declaration (supplied document)

• trading license contribution consist of a fixed and a proportional fees, except categories 6, 7 and 8 (see table of trading license classification in the General Taxes Code)

• form supplied : declaration for the registration in the trading license

• payment receipt of trading license + the trading license ( paper to be posted) + the professional cards (importer, eventual public works)

•a fiscal identification number is attributed (NIF) when the trading license is given

Fifth step: Registration at the Social Protection Organism-Ministry of Labor

• labor certificates if salaried employees exist in the company

Sixth step: Declaration of opening a company at the Labor Inspection (Ministry of Labor)

• simple letter of declaration of activity start on a simple sheet

Seventh step: Salaried employees’ declaration in the National Employment Agency (Ministry of Labor)
